Terms and Conditions

1. ORDER QUOTES
An order quote not accepted within five (5) business days is subject to price changes.

2. ORDER CANCELLATION
Once an order is approved by the client, it may not be cancelled or modified including, but not limited to, artwork changes, garment sizes, quantities, and personalization.

3. EXPERIMENTAL WORK
Experimental work done by Mercuri Apparel by the client’s request, such as sketches, drawings, composition, screen, presswork, and materials, will remain the exclusive property of Mercuri Apparel and may be subject to charges depending on complexity of request. Use of the preparatory work or ideas obtained from the preparatory work is prohibited except upon compensation to be determined by Mercuri Apparel and agreed upon in writing.

4. PREPARATORY WORK
Preparatory work done by Mercuri Apparel by the client’s request including, but not limited to, sketches, copy, and dummies, will remain the exclusive property of Mercuri Apparel. Use of the preparatory work or ideas obtained from the preparatory work is prohibited except upon compensation to be determined by Mercuri Apparel and agreed upon in writing.

5. CUSTOMER SUPPLIED ARTWORK
Estimates for printing are based on the client supplying same size (or larger) artwork that is “camera-ready” or “scanner-ready” and does not require any additional touch up or cleanup. Additional time needed to prepare artwork will be billed at current rates and may affect the final turnaround time and due date of the order. Any graphics taken from a website must be touched up for an additional fee. Please contact us for any inquiries about fees and charges.

6. PREPARATORY MATERIALS
Artwork, type, copy, screens, negatives, positives, colour separations, and other items when supplied by Mercuri Apparel will remain the exclusive property of Mercuri Apparel except upon compensation to be determined by Mercuri Apparel and agreed upon in writing.

7. ALTERATIONS
Alterations represent work performed in addition to the original specifications. Any additional work will be charged at current rates and agreed upon in writing.

8. PROOFS
Proof approvals and revisions are to be communicated through direct communication with the client. For an order to enter production the following business day, proof approval is required before 3:00pm EST, Monday – Friday, excluding holidays.

If revised proofs are desired, a written request must be made when proofs are received. Revisions to manual orders are only accepted through email

Mercuri Apparel regrets any errors that may go through production undetected. Mercuri Apparel cannot be held responsible for errors if the word, design, or logo is printer as per the client’s approval or if changes are communicated verbally.

9. PRESS APPROVALS
Any press approvals will be charged at current rates and agreed upon in writing. Any changes, corrections, or lost press time due to client’s change of mind or delay will be charged for at current rates and may affect final due date.

10. COLOUR PROOFING
Due to differences in equipment, garments, inks, and other conditions between colour proofing and production pressroom operations, a reasonable variation in colour between colour proofs and completed order will constitute acceptable delivery.

11. OVERRUNS OR UNDERRUNS
For all promotional items a 3% over/under run policy will apply. This means that Mercuri Apparel can print up to 3% less than the original total requested and if this case Mercuri Apparel will credit the client back the difference. Alternatively, Mercuri Apparel can print up to 3% more than the original total requested, and this difference will be charged to the client.

12. SHIPPING & DELIVERY
Mercuri Apparel does not assume liability for any delays with couriers and cannot provide refunds or discounts as a result of courier delays. Mercuri Apparel can only guarantee that the client’s order has left Mercuri Apparel’s supplier’s premises on time. The price quoted is for a single shipment, without storage, F.O.B., local client’s place of business or F.O.B. Mercuri Apparel’s supplier’s platform for out-of-town clients, unless otherwise specified. Proposals are based on continuous and uninterrupted delivery of completed orders, unless specifications distinctly state otherwise.

13. PRODUCTION SCHEDULES
Production scheduled will be established and adhered to by the client and Mercuri Apparel, if neither shall incur any liability, penalty, or delays due to state of war, riot, civil disorder, fire, strikes, accidents, action of Government or civil authority, acts of God, or other causes beyond the control of the client or Mercuri Apparel.

14. PAYMENT TERMS
A pre-authorization for the full value of the order is required before production and turnaround time can commence. Once approval is granted by the client, the pre-authorization is captured, and turnaround time begins.

15. GENERAL WARRANTY
Mercuri Apparel shall disclaim any and all express or implied warranties of merchandise or warranty of fitness for a particular purpose. Although Mercuri Apparel uses quality materials, due to the wide variation in laundering conditions and detergents, Mercuri Apparel does not guarantee against any fading or shrinkage of garments during laundering. Any claims against your order must be made within 5 days of receipt. No exchanges, refunds, or compensation beyond 5 days will be accepted.

16. DYE LOT
Due to the practice of batch processing knitted goods when they are dyed, Mercuri Apparel cannot guarantee consistency of colour on garments from dye lot to dye lot or from one order to the next.

17. SUBSTITUTIONS
Mercuri Apparel reserves the right to substitute materials of equal or better quality unless advance notification of such is previously agreed upon in writing.

18. DEFECTIVE GOODS
Garments or items that do not pass through Mercuri Apparel’s quality assurance testing will be made available to the client to be purchased at a reduced cost to be determined by Mercuri Apparel. If the client declines to purchase such items, Mercuri Apparel reserves the right to sell them as seconds or irregulars as determined by Mercuri Apparel.

If the client provided the goods for decoration, they will be entitled to all defective goods. Rates on defective goods will be within industry standards. Mercuri Apparel is not obligated to purchase defective goods from buyer unless a specific percentage amount of defects is agreed upon in writing before production begins.

19. PACKAGING
All items shall be ‘bulk’ packaged, unless otherwise specified or agreed upon in writing. Individual packaging including, but not limited to, folding, tagging, and bagging, will be charged at current rates and requested during online order submission.

20. INDEMNIFICATION
The client shall indemnify and hold harmless Mercuri Apparel from any and all loss, cost, expense, and damages on account of any and all manner of claims, demands, actions, and proceedings that may be instituted against Mercuri Apparel on grounds alleging that any printing completed by Mercuri Apparel violates any copyright or proprietary right of any person, or that it contains any matter that is libelous or scandalous content, invades any person’s right to privacy or personal rights, except to the extent that Mercuri Apparel has contributed to the matter. The client agrees to, at the client’s own expense, promptly defend and continue defense of any such claim, demand, action, or proceeding that may be brought against Mercuri Apparel, provided that Mercuri Apparel shall promptly notify the client with respect thereto, and provided further that Mercuri Apparel shall give to the client a reasonable amount of time the urgency of the situation permits to undertake and continue the defense thereof.
